User Agreement

1. Acceptance of Terms

By accessing or using Just Canvass ("the Service," "Platform," or "App"), you agree to be bound by this User Agreement ("Agreement"). If you do not agree to these terms, you may not use the Service.

This Agreement constitutes a legally binding contract between you (the "User," "you," or "your") and Just Canvass ("we," "us," or "our").

2. Description of Service

Just Canvass is a digital canvassing and campaign management platform. The Service provides tools and features to help you manage and execute your campaign activities, including but not limited to:

  • Campaign and team management tools
  • Data collection and organization
  • Analytics and reporting
  • Geographic mapping and visualization
  • Activity coordination and tracking
  • Collaboration features for team members

The specific features and capabilities available to you may vary depending on your subscription level and geographic location.

3. User Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

4. Account Registration and Security

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Choose a strong password and keep it confidential
  • Notify us immediately of any unauthorized use of your account
  • Not share your account credentials with others
  • Be responsible for all actions taken through your account

5. Acceptable Use Policy

5.1 Permitted Use

The Service is intended for legitimate use in accordance with applicable laws and regulations. You agree to use the Service only for its intended purposes.

5.2 Geographic Availability

The Service is currently available only in specific geographic regions. By using the Service, you confirm that you are located in a supported region and comply with all local laws and regulations.

5.3 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Harass, threaten, intimidate, or abuse any person or entity
  • Collect or store personal data in violation of privacy laws or regulations
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Interfere with, disrupt, or create an undue burden on the Service or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or connected systems
  • Use automated systems, bots, or scrapers without our prior written permission
  • Transmit viruses, malware, or any other malicious code
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Remove, obscure, or modify any copyright, trademark, or other proprietary rights notices
  • Use the Service in any way that could damage, disable, overburden, or impair our infrastructure

6. Legal and Regulatory Compliance

6.1 Your Responsibility

You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to:

  • Electoral and campaign finance laws
  • Privacy and data protection regulations
  • Anti-spam and communications laws
  • Industry-specific regulations
  • Local, provincial/state, and federal laws

6.2 Data Collection and Privacy Obligations

When collecting personal data through the Service, you must:

  • Comply with all applicable privacy laws and regulations
  • Obtain all necessary consents and authorizations for data collection and use
  • Respect individuals' privacy rights and preferences
  • Handle sensitive personal information in accordance with applicable laws
  • Provide clear and accurate information about how data will be used
  • Implement appropriate security measures to protect collected data

7. Data Ownership and Control

7.1 You Own Your Data

You retain all ownership rights to the data you create, upload, or collect using the Service. We do not claim any ownership of your data. You have full control over your data, including the right to export, delete, or transfer it at any time.

7.2 License to Operate the Service

To enable us to provide the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, process, and display your data solely for the purpose of operating and improving the Service for you. This license terminates when you delete your data or close your account, except as needed to comply with legal obligations.

7.3 Data Export and Portability

You may export your data from the Service at any time. Upon request, we will provide your data in a commonly used, machine-readable format to facilitate portability.

7.4 Aggregated and Anonymized Data

We may use aggregated, anonymized data that cannot identify you or any individuals for analytics, improving the Service, research, and displaying general statistics. This data does not include any personally identifiable information.

7.5 Data After Account Closure

After you close your account or request deletion, you retain ownership of your data and may request a copy before final deletion. We will delete your personal data in accordance with our data retention policy as outlined in our Privacy Policy.

7.6 Data Transfers to Other Campaigns

As the primary account owner, you may authorize the transfer or sharing of your campaign data with other campaigns on the platform. This includes voter contact information, interaction history, and other campaign data you have collected. By authorizing such a transfer, you:

  • Confirm you have the legal authority to share this data
  • Accept responsibility for ensuring the transfer complies with all applicable privacy laws and regulations
  • Acknowledge that the receiving campaign will have full access to the transferred data
  • Understand that once transferred, the data will be subject to the receiving campaign's control and management

We will only process such transfers upon explicit written request from the primary account owner. We are not responsible for how the receiving campaign uses the transferred data after the transfer is complete.

8. Intellectual Property

The Service, including all software, text, graphics, logos, and other content, is owned by Just Canvass and protected by copyright, trademark, and other intellectual property laws. You may not use, copy, modify, or distribute any part of the Service without our prior written permission.

9. Fees and Payment

9.1 Paid Subscription

Access to the Service requires a paid subscription. By subscribing, you agree to pay all applicable subscription fees according to the pricing and payment terms presented to you at the time of purchase.

9.2 Payment Terms

Subscription fees are charged on a recurring basis (monthly, annually, or as otherwise specified) until you cancel your subscription. You authorize us to charge your payment method for all applicable fees.

9.3 Refund Policy

All fees are non-refundable unless otherwise required by law or explicitly stated in your subscription terms. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.

9.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide you with reasonable advance notice of any price changes. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

9.5 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments. You are responsible for paying all applicable taxes associated with your subscription.

9.6 Payment Failure

If we are unable to process your payment, we may suspend or terminate your access to the Service until payment is received. You remain responsible for any unpaid fees.

10. Service Availability and Modifications

10.1 Best Effort Availability

We strive to provide reliable and continuous access to the Service on a best-effort basis. However, we do not guarantee any specific uptime, availability, or performance levels. The Service may be temporarily unavailable due to:

  • Scheduled or emergency maintenance
  • System updates and improvements
  • Technical issues or outages
  • Third-party service disruptions
  • Force majeure events or circumstances beyond our control

10.2 No Service Level Agreement

We do not provide any service level agreement (SLA) or guarantee regarding uptime, response times, or support availability. While we make commercially reasonable efforts to maintain service availability and respond to support requests, we are not liable for any downtime or delays.

10.3 Modifications to the Service

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We may add new features, remove existing features, or change how the Service operates. We are not liable for any modification, suspension, or discontinuation of the Service.

10.4 Beta Features

We may offer beta, experimental, or preview features. These features are provided "as is" and may not function as intended. We may discontinue beta features at any time without notice.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at tyson@justcanvass.ca.

11.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, if you:

  • Violate this Agreement
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees
  • Use the Service in a manner that causes harm to us or others

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. You may request a copy of your data within 30 days of termination. Your data will be deleted within 30 days of termination in accordance with our data retention policy outlined in our Privacy Policy, unless we are required to retain certain information by law.

12. Disclaimers and Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUST CANVASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service

12.3 Maximum Liability

In no event shall our total liability to you for all damages exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred Canadian dollars ($100 CAD), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Just Canvass, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of this Agreement
  • Your violation of any third-party rights, including privacy rights
  • Your violation of any applicable laws or regulations
  • Any data you collect or use through the Service

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review our Privacy Policy to understand our data practices.

15. Governing Law and Dispute Resolution

15.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada and the applicable provincial laws, without regard to conflict of law principles.

15.2 Jurisdiction

Any dispute arising out of or relating to this Agreement shall be subject to the jurisdiction of the courts of Canada. Both parties consent to the personal jurisdiction and venue of such courts.

15.3 Informal Dispute Resolution

Before filing any formal legal action, you agree to first contact us at tyson@justcanvass.ca to attempt to resolve the dispute informally. We will work in good faith to resolve any disputes through direct communication.

15.4 Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to this Agreement or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

16. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Agreement.

If you do not agree to the modified Agreement, you must stop using the Service and may terminate your account.

17. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Just Canvass regarding the use of the Service and supersedes all prior agreements and understandings.

20. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
